Lenders and their attorneys need to keep up-to-date with changes in the Uniform Commercial Code, especially newly revised Article 9 and Article 5, to avoid legal risk associated with making and drafting commercial loan agreements.
Structuring and Drafting Commercial Loan Agreements has been used by thousands of attorneys, borrowers, and lenders for optimal negotiation and structuring of commercial loans. Expert analysis, guidance, and sample clauses and documents make agreement drafting easier. This practical treatise discusses each change under the UCC and other laws. A special section includes many "before and after" comparisons indicating how issues were handled before and after the effective date of a UCC revision. It also discusses the current laws, regulations, and policy statements in the context in which they arise during these transactions. The manual also addresses practical aspects of electronic commerce, letters of credit, and selling a participation or loan.
Structuring and Drafting Commercial Loan Agreements provides lenders, borrowers, and their attorneys with:
- Guidance on the changes made by revised Article 9. It explains the new terminology and drafting conventions, and tells how a security interest in new Article 9 collateral may be acquired and perfected.
- Suggestions for drafting a letter of credit reimbursement agreement in the light of Revised Article 5 and UCP 500.
- A chapter on loan participations, including alternative drafting solutions from the perspective of each party.
- Extensive examples of sample loan documentation, with commentary, that will guide users and cut research time significantly.
- A CD containing sample commercial loan agreements for revolving credit, term loans, loan participations, syndicated loans, and guaranties.
